ARTICLE 1 - CLUB CALENDAR
|
|
Section 1. The Club Year shall be from August 1 until July 31.
Section 2. The Election Year shall be from April 1 until March 31. |

|
Section 1. Regular
(a) Women who are U.S. citizens or married to a U.S. citizen are eligible for Regular membership.
(b) Regular FAWCO members transferring from another FAWCO club shall be automatically accepted as Regular Members.
Section 2. Associate
Associate Membership is open to all other women who have a basic knowledge of English.
Sponsorship: All Associate Members must be sponsored by a current Regular Member who will ensure that
(1) the applicant has a basic knowledge of English, and
(2) that the applicant understands her responsibility to participate actively in the Club.
Regular Members may sponsor no more than two Associate Members per Club year. AWC Board members may sponsor an unlimited number.
Associate Membership shall not exceed 20 percent of the total Regular Membership, and no one nationality, other than the host country, shall represent more than one-third of the total Associate Membership figure for a Club Year. At the beginning of a new Club Year, the final Regular Membership figure of the previous year shall be used to establish the initial Associate Membership figure for the new Club Year.
All applications for Associate Membership including Honorary Associate Membership shall be processed by the AWC Board, and applicants shall be notified of the results within 30 days.
Section 3. Honorary Associate
(a) Diplomatic Honorary Associate Membership is open to the wives of Foreign Ambassadors to Korea.
(b) U.S. Military Honorary Associate Membership is open to the wives of the top four ranking U.S. Military personnel stationed in South Korea.
(c) Female Dignitaries and Presidents of associating clubs or women whom in the opinion of the entire Board, have given extraordinary help and support to AWC, i.e. AmCham President and SIWA President.
(d) Past Presidents of AWC Korea.
Honorary Associate Membership includes the same benefits and privileges as Associate Membership. However, these memberships shall be excluded from the 20 percent limitation governing overall Associate Membership. Dues and Sponsorship are not required.
Section 4. FAWCO Transfer Associate Membership
Any Associate Member of a FAWCO member club may transfer membership to this Club without sponsorship or approval for the remainder of the AWC Club year. This membership is excluded from the 20 percent limitation governing overall Associate Membership.
Section 5. Guests
Regular and Associate Members may bring guests to AWC meetings and events. However, an individual may attend only two monthly meetings per year as a guest before she must apply for membership.
Section 6. Member Rights
(a) Regular Members may vote, participate in all general membership activities, join
committees, receive all copies of arirang published during the Club year, receive the
monthly newsletter, and consign and shop at the Thrift Shop provided they have access to
its location. They are members of the Federation of American Women's Club Overseas
(FAWCO) with all rights and privileges pertaining to the membership. Regular
Members may hold any position on the board including the Executive Board.
(b) Associate Members may participate in all general membership activities, join committees, receive all copies of arirang published during the Club year, receive the monthly newsletter, and consign and shop at the Thrift Shop provided they have access to its location. They are members of the worldwide organization of FAWCO with all rights and privileges pertaining to that membership.
(c) Associate Members may vote and hold office on the General Board when appointed by the President. The maximum number of Associate Members on the General Board may not exceed 15 percent.
Section 7. Dues and Fees
Regular and Associate Members shall pay annual dues in the amount fixed by the AWC Board at the beginning of the Club year. |

Section 1. General Membership
The AWC General Membership shall convene monthly at a time and place designated by the AWC Board. The President may call extraordinary meetings when it is deemed necessary. The President may also call a special meeting when she has received a written request for such a meeting that states the purpose of the meeting and is signed by five (5) Regular Members.
Section 2. Board
The President may call a special meeting of the Executive Board and/or the AWC Board when she deems necessary to discuss and vote on special matters.
Section 3. Procedures Robert's Rules of Order shall govern AWC in all cases to which they are applicable and consistent with the Constitution and Bylaws of the Club. |

ARTICLE IV - FINANCIAL PROVISIONS |
|
Section 1. Budgeted Funds
Shall be available for use by members of the AWC Board. The AWC Board shall set the amount each year. A decision to spend any money in excess of the budgeted amount must be approved by the AWC Board.
Section 2. Audits Audits shall be done at the discretion of the AWC Board or Treasurer at least every other year or whenever a majority of the General Membership deems necessary.
Section 3. Fund Disbursement
(a) All moneys received by the Club and its activities shall be deposited in the name of AWC in an insured banking facility.
(b) With proper documentation and authorization disbursements can be made in cash from the petty cash fund. The petty cash fund may be established in won and US dollars.
(c) The President, First Vice President, and Treasurer shall be the only persons authorized to disburse funds. Checks drawn against the AWC account shall be valid when signed by any of them.
(d) No dividend or profit shall be distributed to the Membership or any individual. The Board can review exceptions to this provision.
Section 4. Welfare Disbursement
Donations from the Club¡¯s welfare funds can be made to U.S., Korean and FAWCO-sponsored organizations benefiting charities and other needs proposed by members. The Welfare Committee shall research and present proposals for donations to the AWC Board for approval. |

ARTICLE V - EXECUTIVE BOARD |
|
Section 1. Definition
(a) The Executive Board shall consist of the elected officers: President, Vice Presidents, Recording Secretary, Treasurer, and Ex-Officio.
(b) The Executive Board shall be convened when deemed necessary by the President or by any three of its members to discuss matters that do not warrant consideration by the full AWC Board.
(c) The officers of the Club must be Regular Members, U.S. passport holders, and shall consist of the President, First Vice President, Second Vice President, Third Vice President, Treasurer, Recording Secretary and Ex-Officio.
(d) The office of the President must be filled by a member with at least one year of experience on the AWC Board or a qualified member.
(e) The officers shall serve for one term, but not more than two consecutive terms in a given office. A term shall be the Club year.
Section 2. Executive Board Duties
(a) The President shall preside at all AWC meetings, serve as an advisory member of all the Club's committees, affix her signature to all contracts, obligations and correspondence pertaining to AWC policy, be authorized to sign checks in the absence of the Treasurer, approve all standing committee Chairs and appoint any vacancies thereof, serve as official representative of the Club, and, with prior approval of the AWC Board, attend the bi-annual FAWCO Conference if it falls during her term.
(b) The First Vice President shall assume the presidential duties in the absence of the President, serve as Constitution and Bylaws Review Committee Chair, and assume other responsibilities delegated to her by the President. She shall advise the Club and the Board on the Club¡¯s Constitution and Bylaws, parliamentary procedures, and operating policies and procedures.
(c) The Second Vice President shall serve as the Club's Programs Chair, organizing the Club's monthly Membership Meeting throughout the Club year, and assume other responsibilities delegated to her by the President.
(d) The Third Vice President shall serve as the Club's Special Programs Coordinator to organize special events as designated by the President. The Third Vice President shall investigate all requests for welfare assistance and report her finding to the AWC Executive Board with recommendations for funding. She shall be responsible for the delivery of those funds approved by the AWC Executive Board, and maintain a file on all individuals and organizations requesting welfare assistance and the Club's charitable funding. The Third Vice President shall assume all other responsibilities delegated to her by the President.
(e) The Recording Secretary shall keep the Minutes of all Board and Executive Board meetings and all official or special meetings of the Club Membership. She shall distribute copies of the Minutes of the monthly Board meetings to all Board members prior to the next Board meeting, distribute any correspondence deemed necessary by the President, and serve as custodian of the Minutes.
(f) The Treasurer shall receive, safeguard, disburse and account for funds and other assets in accordance with policies and procedures established by the AWC Board and the Membership. She shall be responsible for all financial records and accounts pertaining to the Club, and present her books for audit whenever requested by the AWC Board and/or a majority of the Membership.
(g) The Ex-Officio shall be defined as the AWC President who has just completed her term of office. If the immediate past President is unable to serve as Ex-Officio, the President can appoint a past President to fill the position. The Ex-Officio shall be a voting member of the Executive Board. She shall serve as the Chair of the Election Committee and as a consultant to the Board and all the committees and subcommittees. |

Section 1. Composition
The AWC Board shall consist of the elected officers, known collectively as the Executive Board, plus the Honorary President, Committee Chairs, U.S. Embassy Liaison, FAWCO Representative, and Thrift Shop Representative. The Honorary President shall serve in an advisory capacity and is not a voting member.
Section 2. Members Extraordinary (a) The wife of the Ambassador of the United States of America to Korea shall be invited to accept the Honorary Presidency.
(b) The U. S. Embassy Liaison shall be appointed by the Honorary President to serve as a liaison between the U.S. Embassy and the AWC Board and shall be a voting member of the Board.
(c) The position of FAWCO Representative shall be filled by the Ex-Officio. If the Ex-Officio is unable to fill the position, the President shall appoint a FAWCO representative. The appointee shall have at least one year's experience on the AWC Board and shall be a voting member of the Board. She will represent FAWCO to the local Club and will represent the Club to FAWCO. The FAWCO Representative will attend the bi-annual FAWCO conference along with the Club President with the prior approval of the AWC Board. If the FAWCO representative cannot attend the conference, the Club President shall appoint someone to attend, subject to AWC Board approval.
(d) The Thrift Shop Representative shall be nominated by the Thrift Shop Board and elected by the AWC Thrift Shop Association to serve on the AWC Board. She shall serve as liaison between AWC and the Thrift Shop Association, with voting rights on the AWC Board. She shall prepare and present written activity reports and financial reports to the AWC President and AWC Recording Secretary each month for distribution to the AWC Board.
Section 3. Meetings
The AWC Board shall meet monthly to discuss and conduct routine Club business. A quorum to conduct business is a majority of all AWC Board members. Should a Committee Chair be unable to attend a Board Meeting, she may appoint a member of her committee to attend and said person shall vote on Board business and report when applicable
Section 4. Records
All AWC Board members shall maintain complete records of past and present activity for her committee or office. Each Board member shall pass her records plus a summary of her position for the year to her successor at the end of her term.
Section 5. Vacancies
(a) President: Shall be filled by the Election Committee nominating a person for ratification by the General Membership. The First Vice President shall serve as President until a new President is elected.
(b) Other elected offices: Shall be filled by presidential appointment with the approval of the AWC Board.
(c) Committee Chairs: Shall be filled by presidential appointment.
(d) A member filling a vacancy shall hold office for the duration of the unexpired term.
Section 6. Removal from Office
(a) The Executive Board may recall one of its members by a two-thirds (2/3) vote of the entire Executive Board Membership.
(b) The AWC Board may recall one of its members by a two-thirds (2/3) vote of the entire Board Membership.
(c) The General Membership may recall members of the AWC Board by a two-step process pending five (5) days prior notification. Step one is the passage of a motion to impeach, which shall be made at any duly called AWC meeting which has a quorum present. Step two is the vote to remove from office, which vote shall be taken at the next duly called AWC meeting which has a quorum present. A two-thirds (2/3) vote of the members present is required to remove a Board Member. |

Section 1. Purpose
Committees shall be formed for the purpose of carrying out the routine activities of the Club.
Section 2. Chairs
Committee Chairs shall be appointed by the President-Elect for a term of one year. In the case of the Arirang Editor and Thrift Shop Manager, the appointment should come from the recommendations made by each of the respective staffs. In the event that the Thrift Shop Manager cannot complete her term, the AWC President shall appoint a person to serve out the term with the approval of the AWCTSA Board of Directors.
(a) General Duties
Shall include preparing an annual report for the President and the Committee files, serving as a voting member of the AWC Board, and coordinating the activities of their committee. Committee Chairs shall be responsible for preparing a budget and financial statement for any events or activities their committee stages once the event is completed.
(b) Specific Duties
(1) The Arirang Chair shall serve as Editor of the Club's quarterly magazine arirang and coordinate all functions thereof, serve as a liaison between the magazine staff and AWC Board, be responsible for implementing Board policies relevant to the operation of a non-political magazine, and prepare a financial report for each issue of the magazine for the President, Treasurer and arirang files following the publication of each issue. The Arirang Editor shall be compensated quarterly by an amount set and approved by the AWC Board.
(2) The Bazaar Chair shall be responsible for organizing all workshops, volunteers, materials, purchases, and volunteer labor for all bazaars sponsored by or involving the participation of AWC.
(3) The Welfare/Community Service Chair shall investigate all requests for welfare assistance and report her findings to the AWC Board with recommendations for funding, be responsible for the delivery of those funds approved by the AWC Board, and maintain a file on all individuals and organizations requesting welfare assistance and the Club's charitable funding.
(4) The Fundraising Chair shall be responsible for the Club's annual fundraising events. She shall coordinate with the President and Treasurer to set realistic financial goals for the Club and work with other Committee Chairs to generate funds toward these goals.
(5) The Historian shall coordinate the taking of pictures of Club activities, collect news clippings about the Club, maintain historical records of the Club, and prepare a scrapbook for the Members each year.
(6) The Membership Chair shall be responsible for processing memberships and dues, issuing membership cards, maintaining an up-to-date list of members, informing all membership revisions to the Newsletter Editor and Arirang Editor as they occur, and coordinating the preparation and publication of the Membership Directory and any updates thereto.
(7) The Hospitality/Newcomers Chair shall welcome newcomers, organize monthly gatherings for newcomers, offer on-going activities to assist newcomers in Korea, and keep members apprised of Members' extraordinary personal circumstances.
(8) The Newsletter Editor shall serve as Editor of the monthly newsletter and coordinate its production and distribution.
(9) The Publicity Chair shall be responsible for Club news releases for radio, television and newspapers, Club posters and the organizing of media coverage for Club events.
(10) The Social Interest Chair shall organize social activities that will promote camaraderie among Members such as activities for couples, outings, tours and any other events that might interest the membership.
(11) The Thrift Shop Manager shall oversee the management of the Second Hand Rose Thrift Shop, making day to day operational decisions, and shall preside at all association meetings, affix her signature to all contracts, ensure adherence to and compliance with the Association's policies and procedures, and respond to any correspondence. She shall be authorized to sign checks in the absence of the AWCTSA Treasurer. She shall appoint persons to fill any vacancies on the AWCTSA Board with the approval of the Thrift Shop Board of Directors. She shall fulfill all duties outlined in the AWCTSA Constitution and Bylaws.
(12) The Trips and Tours Chair shall organize cultural trips and tours for the Club.
(13) The Children's Program Chair shall be responsible for planning the Club¡¯s three major children's holiday events each year, as well as any other events or programs that may benefit children. The events usually correspond to Halloween, Christmas, and Easter, but may be held at the discretion of the Chair and the Children's Program Committee.
(14) The AWC Ball Chair shall be responsible for forming a Ball Committee to plan and organize the Club's annual gala event. She shall contract with a hotel and organize the entertainment, decorations, menu and any raffle or door prizes. Should the Ball be used as an income generator, she shall work with the Fundraising Chair to set fundraising goals for the gala.
Section 3. New Committees
The AWC Board can add new Committees when it deems necessary. The chairs of these shall be voting members of the AWC Board and have the same rights and responsibilities as any other committee chair. |

Section 1. Election Committee
(a) Composition
There shall be an Election Committee formed at the beginning of the Club year. It shall consist of seven (7) members including the Ex-Officio, who shall serve as its Chair. If the Ex-Officio cannot serve, the First Vice President shall serve as Chair. The President shall select six additional current regular members to serve on the Committee. At least two (2) of the Election Committee members shall be from the current AWC Board, and at least three (3) of the Committee members shall be non-Board members. The President shall present the names of the six (6) members of the Election Committee to the AWC Board for approval. Once it has begun deliberations, changes to the Committee membership cannot be made without prior approval of the President.
Should the Ex-Officio and/or the First Vice President be unable to serve on the Committee, the President shall appoint a person to chair the Committee.
Should a member of the Committee decide to run for office, she must step down from the Committee.
(b) Duties
The Election Committee shall facilitate the election of a new President and her Executive Board. The Election Committee shall encourage one or more qualified current AWC members to stand for election as President. The Committee shall assist each candidate for President by actively recruiting nominees for Executive Board positions.
Section 2. Self-Nominations
Any current AWC member may "self-nominate" for President by presenting to the Election Committee a nominating petition signed by at least five (5) other current AWC members. If the Election Committee determines that the criteria for President have been met, then the self-nominated candidate shall be added to the candidates supported by the Election Committee.
Section 3. Candidate Verification
Each candidate for President shall submit the names of her proposed Executive Board to the Election Committee not later than two weeks prior to the December Membership Meeting. The Committee shall verify that each person on the proposed slate is qualified to serve in the selected office. (The same woman may be part of the proposed Executive Board for different candidates.) A candidate who fails to present her slate to the Committee shall be deemed to have withdrawn from the election.
Section 4. Presentation of Slate
The slate(s) for President and Executive Board shall be presented to the Membership at the regular December Membership Meeting. Nominations from the floor will not be accepted at this meeting.
Section 5. Voting
Voting shall be done at the January Membership Meeting. If there is more than one slate, then voting shall be conducted by paper ballot. Otherwise, the President and her Executive Board shall be declared elected by the acclamation of the Regular Membership present at that meeting.
Section 6. Taking Office
The Executive Board shall commence duties on April 1, following the March Board Meeting, at which both the outgoing and incoming Boards shall be present. |

These Bylaws may be amended at any regular meeting, or at a special meeting called for that purpose, by a vote of a majority of the Regular Members present provided the membership has been given five (5) days notice in writing of the proposed amendment.
