ARTICLE I - NAME
A. The name of this organization shall be The American Women's Club of Korea (hereafter referred to as AWC).
This Club is a member of the Federation of American Women's Clubs Overseas (FAWCO).
B. AWC shall hold its regular activities in Seoul.
C. When appropriate and upon request, auxiliary chapters may be formed in other locations in Korea. These chapters shall be chaired by a person responsible to the President.
 
ARTICLE II - PURPOSE
The purpose of this organization shall be:
To promote friendship, sociability and unity among American Women.
To help members know and enjoy Korea to promote good relations with Koreans.
To develop cultural, educational and recreational activities for members.
To raise and distribute funds for general welfare purposes focusing on local Korean and American communities.
 
ARTICLE III - MEMBERSHIP
A. Membership shall be of two classes, Regular and Associate, as defined in the Bylaws.
B. Eligibility: All women over the age of 18 who are citizens of the United States of America and such other persons as defined in the Bylaws.
C. Regular Members in good standing have privileges and can perform such duties as prescribed in the Bylaws, including the right to vote and hold office.
D. Associate Members in good standing have privileges and can perform such duties as prescribed in the Bylaws, excluding the right to vote and hold office. Associate Members can vote and hold office on the General Board if appointed by the President and can perform such duties as prescribed in the Bylaws.
 
ARTICLE IV - OFFICERS
The officers of the Club shall be the President, First Vice President, Second Vice President, Third Vice President, Treasurer, and Recording Secretary who shall be elected annually by the General Membership for the term of one year and the Ex-Officio.
 
ARTICLE V - FINANCIAL PROVISIONS

A. Each year the AWC Board shall determine the amount for the annual dues that must be paid by each member. Full dues shall cover an entire Club year.
B. A detailed budget, approved by the AWC Board, shall be presented to the General Membership for ratification. Expenditures in excess of the approved budget must be approved in advance by the Executive Board.
C. All moneys received, except Thrift Shop revenues, shall be placed in the General Treasury.
D. The Thrift Shop shall collect and disburse all funds associated with Thrift Shop business separately from the General Treasury. Thrift Shop profits shall be used exclusively for general welfare purposes in Korea.
E. AWC is not responsible for personal liability or property damage that occurs during Club functions.

 
ARTICLE VI - MEETINGS

A. Regular general membership meetings shall be held monthly. No meeting shall be held in July.
B. The AWC Board shall meet once a month at a time and place designated by the President. A quorum must be present for the AWC Board to conduct business requiring a vote. A quorum shall be no less than a majority of the current AWC Board members.

 
ARTICLE VII - BYLAWS
The Club may adopt such Bylaws as it deems necessary, and may amend them or set them aside, by majority vote of those present and voting, with the provision that no such Bylaw may contravene this Constitution.
 
ARTICLE VIII - AMENDMENTS
A two-thirds vote of the membership of the Club shall be required to amend the Constitution, provided the proposed amendment has been presented in writing to the membership at least five (5) days prior to voting. The voting may be done at a regular meeting of the membership or at a special meeting of the membership.
 
ARTICLE IX - DISSOLUTION

A. A resolution to consider dissolution of AWC may be made to the AWC Board by any regular member. The AWC Board shall notify the Membership in writing of such a resolution and convene a meeting of the membership to vote on the resolution. Such resolution shall be carried by an affirmative vote of a majority of the members present at the meeting.
If the resolution to dissolve the Club is carried, the AWC Board shall adopt a plan for the dissolution of the Club and distribution of its assets and shall submit the plan to a vote of the Membership. Such plan shall be carried by an affirmative vote of a majority of the members present at the meeting.
B. If the association is dissolved, all funds in the treasury at the time will be used to meet any outstanding debts, liabilities or obligations. The balance of these assets will be disposed of as determined by the membership in accordance with the philanthropic aims of the association.
